Credit Terms

These mixedbread ai inc. Service Credit Terms ("Terms") are incorporated by reference into the master subscription agreement or other governing contract between you and mixedbread ai inc. ("mixedbread," "we," "our," or "us") for use of our software, APIs, and related services (collectively, the "Services"). Capitalized terms not defined here have the meanings given in that agreement (the "Agreement").

1. ScopeLink to section

These Terms govern your purchase, receipt, or use of credits that are redeemable solely for the Services ("Service Credits").

2. Types of Service CreditsLink to section

Type	Description
Prepaid Service Credits	Credits you purchase in advance to offset future usage fees for eligible Services.
Promotional Service Credits	Credits we grant at no cost as part of marketing campaigns, betas, or other programs. Additional terms may apply.

3. Nature of Service CreditsLink to section

Service Credits are not legal tender, digital currency, or stored‑value instruments.
They are non‑transferable, non‑refundable, and non‑exchangeable for cash (except as required by law).
Service Credits confer no property or ownership rights and may be used only by the account to which they were issued.
Any attempt to sell, transfer, or trade Service Credits is void and may result in suspension or termination of your account and forfeiture of credits.

4. Purchase, Expiration & RefundsLink to section

All sales are final. Purchases of Prepaid Service Credits and other Services are non‑refundable.
Expiration. Unless stated otherwise at purchase or issuance, Service Credits expire 12 months from the date of purchase (Prepaid) or issuance (Promotional).
Expired credits are removed from your balance and will not be reinstated.

5. Account Balance & VerificationLink to section

You can view your current balance in the Mixedbread platform dashboard.
You are solely responsible for verifying that the correct number of credits has been added to or deducted from your balance.
Your balance is not a bank account, digital wallet, or payment instrument, and it accrues no interest.

6. TaxesLink to section

You are responsible for any transaction‑based taxes arising from your purchase or redemption of Service Credits, except where we are required to collect and remit such taxes. Promotional Service Credits do not reduce applicable tax liabilities unless expressly stated.

7. Suspension & TerminationLink to section

We may suspend or terminate (a) your access to the Services or (b) any Service Credits if we reasonably believe you have violated the Agreement, these Terms, or applicable law, or if we investigate suspected fraud or misuse.

8. Modification of TermsLink to section

We may modify these Terms at any time. Material changes will be provided by posting an updated version on our website or by emailing the address associated with your account. Your continued possession or use of Service Credits after the effective date constitutes acceptance of the revised Terms.

9. Disclaimer & Limitation of LiabilityLink to section

Disclaimer. Service Credits are provided “as is” without warranties of any kind, express or implied.

Limitation. To the maximum extent permitted by law, mixedbread will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to these Terms or the use of Service Credits.

10. MiscellaneousLink to section

Topic	Provision
Governing Law	Same as specified in the Agreement.
Severability	If any provision is held unenforceable, the remaining provisions remain in effect.
Entire Agreement	These Terms and the Agreement constitute the entire agreement regarding Service Credits and supersede all prior understandings.
